By using TextBoxed (the "Service"), you are agreeing to be bound by the following terms and conditions (the Terms of Use). Please read them carefully before using the Service.
These Terms of Use constitute a binding legal agreement between you and Elevation Software LLC, a Florida Limited Liability Company ("we", "us", or "our").
1. The Service
TextBoxed is a digital platform that allows users to read, store and archive the content of text message and chat conversations with colleagues, friends, family, clients, business partners, associates and others. The Service includes text messaging features that enable users to receive SMS and MMS messages through integrated third-party providers, including Twilio.
You may use the Service only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
2. Your Account
To use certain features of TextBoxed, you may be required to create an account. You must provide accurate and complete information and keep your account credentials secure. You are responsible for any activity that occurs under your account.
We reserve the right to suspend or terminate your account if we suspect any unauthorized use or violation of these Terms.
3. Privacy
Your use of the Service is also governed by our Privacy Policy, which outlines how we collect, use, and safeguard your personal information.
When you use our text messaging features, we may collect and store phone numbers, message content, delivery status, and related metadata. This information is used solely to provide the messaging Service and comply with applicable laws and regulations.
4. Ownership and Content
You retain ownership of any content you create or upload to TextBoxed. By using the Service, you grant us a limited, non-exclusive license to host, display, and distribute your content solely to provide the Service to you.
We claim no intellectual property rights over the material you provide to the Service. However, we reserve the right to remove any content that violates these Terms, applicable laws, or our policies.
5. Acceptable Use
You agree not to:
- Use the Service for any illegal or unauthorized purpose.
- Violate any laws in your jurisdiction.
- Infringe upon or violate our intellectual property rights or the intellectual property rights of others.
- Upload or transmit viruses or any code of a destructive nature.
- Abuse, harass, threaten, impersonate, or intimidate others.
- Use automated systems (bots, spiders, etc.) to access the Service.
Violation of any of the above may result in immediate termination of your account and possible legal action.
6. Text Messaging Terms
If you use the text messaging features of TextBoxed, you agree to the following additional terms:
6.1 Consent and Compliance
You represent and warrant that you have obtained all necessary consents from recipients before sending any text messages through the Service. You are solely responsible for compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all other applicable federal, state, and international laws governing electronic communications and text messaging.
6.2 Prohibited Messaging Practices
You agree not to use the text messaging features to:
- Send unsolicited or spam messages.
- Send messages to any person who has not provided prior express consent.
- Send messages that contain false, misleading, or deceptive information.
- Send messages that promote illegal activities or violate any applicable laws.
- Send messages that contain malicious links, malware, or phishing attempts.
- Engage in any form of harassment, threats, or abuse via text message.
- Impersonate any person or entity, or falsely state or misrepresent your affiliation.
- Exceed message volume limits or send messages at unreasonable frequencies.
6.3 Opt-Out and Unsubscribe Requirements
You must honor all opt-out requests promptly. When a recipient replies with "STOP," "UNSUBSCRIBE," "CANCEL," "END," or "QUIT" (or similar opt-out keywords), you must immediately cease sending messages to that recipient. You are responsible for maintaining accurate opt-out records and ensuring compliance with all opt-out requests.
6.4 Message Content Standards
All messages sent through the Service must clearly identify you or your business as the sender. You must not send messages that contain prohibited content, including but not limited to: adult content, gambling promotions (unless properly licensed), controlled substances, firearms, or any content that violates carrier policies or applicable laws.
6.5 Third-Party Service Providers
Our text messaging features are powered by third-party providers, including Twilio. Your use of the messaging features is also subject to the terms and acceptable use policies of these providers. We reserve the right to suspend or terminate your access to messaging features if your use violates our terms or the terms of our third-party providers.
6.6 No Guarantee of Delivery
We do not guarantee the delivery, timing, or receipt of any text messages sent through the Service. Message delivery is subject to carrier network availability, recipient device status, and other factors beyond our control.
6.7 Messaging Fees and Charges
Standard messaging rates may apply to recipients of your messages based on their carrier plans. You are responsible for any fees associated with your use of the text messaging features as outlined in your subscription plan.
7. Payment and Billing
Some features of TextBoxed may require payment. By purchasing a subscription or using paid features, you agree to pay all applicable fees and taxes. All payments are processed securely through our payment provider.
We reserve the right to change pricing or payment terms at any time with reasonable notice.
Text messaging usage may be subject to additional charges based on message volume, destination, and carrier fees. Current pricing for messaging features is available in your account dashboard.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for breach of these Terms.
You may terminate your account at any time by contacting support or using the account management tools provided in the app.
Upon termination, all licenses and rights granted to you in these Terms will immediately cease.
Upon termination, any unused messaging credits or prepaid messaging fees are non-refundable.
9. Modifications to the Service
We reserve the right to modify or discontinue the Service (or any part thereof) at any time, with or without notice.
10. Disclaimer of Warranties
The Service is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free.
We make no warranties regarding the delivery, timing, or receipt of text messages sent through the Service. We are not responsible for any damages arising from failed, delayed, or undelivered messages.
11. Limitation of Liability
To the fullest extent permitted by law, Elevation Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service.
Our liability to you for any damages shall not exceed the amount you paid, if any, for the Service in the 12 months prior to the event giving rise to the claim.
We shall not be liable for any claims, damages, or losses arising from your violation of text messaging laws, regulations, or the terms of our third-party messaging providers. You agree to bear full responsibility for your use of the messaging features and any consequences thereof.
12. Indemnification
You agree to indemnify and hold harmless Elevation Software LLC, its affiliates, and its officers, directors, and employees from any claim, demand, loss, or damages (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.
This indemnification specifically includes, but is not limited to, any claims arising from your use of the text messaging features, including claims related to TCPA violations, spam complaints, carrier fines or penalties, and any other claims related to your messaging practices.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
Any disputes arising from or related to these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in such courts.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
